第1条　適用範囲・総則 / Article 1: Scope & General

本規約は、株式会社OPEN NIGHTが運営するプラットフォームおよび関連サービス（以下「本サービス」）の利用条件を定めるものです。本規約のほか、個別規約が定められている場合、個別規約が本規約に優先します。利用者は本規約に同意の上で本サービスをご利用いただけます。

These Terms govern the use of the platform and related services ("the Service") operated by Open Night Co., Ltd. Where individual terms exist, they take precedence over these general Terms. Users agree to these Terms upon using the Service.

第2条　定義 / Article 2: Definitions

本規約における用語を以下の通り定義します。

The following terms are defined as used in these Terms:

• 「アプリ」：当社が提供するモバイルアプリケーション"App": The mobile application provided by Open Night
• 「ユーザー」：本サービスを利用する顧客"User": A customer using the Service
• 「加盟店」：本サービスに登録されたライフスタイルエンターテインメント店舗"Venue" (Merchant): A lifestyle entertainment establishment registered on the Service
• 「スタッフ」：加盟店に所属する従業員"Staff": An employee affiliated with a registered venue
• 「アカウント」：本サービスの利用に必要な登録情報"Account": Registration information required to use the Service
• 「コンテンツ」：本サービス上に投稿・掲載される情報・画像等"Content": Information, images, and other materials posted on the Service

第3条　プラットフォームの性質 / Article 3: Nature of Platform

当社はプラットフォーム事業者であり、加盟店が提供するサービスの当事者ではありません。サービスの品質・内容に関する責任は各加盟店に帰属します。

Open Night is a platform operator and is NOT a party to the services provided by venues. Responsibility for service quality and content lies with each venue.

第4条　アカウント登録・管理 / Article 4: Account Registration & Management

本サービスの利用にはアカウント登録が必要です。利用者は正確な情報を登録し、登録情報に変更があった場合は速やかに更新するものとします。アカウントの管理責任は利用者に帰属し、第三者による不正利用について当社は責任を負いません。

Account registration is required to use the Service. Users must provide accurate information and promptly update any changes. Users are responsible for managing their accounts; Open Night is not liable for unauthorized use by third parties.

第5条　禁止事項 / Article 5: Prohibited Conduct

以下の行為を禁止します。

The following conduct is prohibited:

• 法令または公序良俗に違反する行為Acts violating laws, regulations, or public order and morals
• 犯罪行為に関連する行為Acts related to criminal activity
• 虚偽の情報を登録・提供する行為Registering or providing false information
• 他の利用者、加盟店、スタッフ、または第三者の権利を侵害する行為Infringing on the rights of other users, venues, staff, or third parties
• 本サービスの運営を妨害する行為（不正アクセス、過度な負荷等）Interfering with Service operations (unauthorized access, excessive load, etc.)
• 本サービスを利用した営利目的の勧誘・宣伝行為（当社が認めた場合を除く）Solicitation or advertising for commercial purposes using the Service (except as approved by Open Night)
• 他の利用者の個人情報を不正に収集・利用する行為Unauthorized collection or use of other users' personal information
• 本サービスのリバースエンジニアリング、改変、複製Reverse engineering, modification, or duplication of the Service
• その他、当社が不適切と判断する行為Other acts deemed inappropriate by Open Night

第6条　知的財産権 / Article 6: Intellectual Property

本サービスに関する知的財産権（商標、著作権、特許等）は当社または正当な権利者に帰属します。利用者は本サービスの利用により知的財産権を取得するものではありません。

Intellectual property rights (trademarks, copyrights, patents, etc.) related to the Service belong to Open Night or their rightful owners. Use of the Service does not confer any intellectual property rights to users.

第7条　コンテンツの基準 / Article 7: Content Standards

利用者が本サービス上に投稿するコンテンツは、法令を遵守し、第三者の権利を侵害せず、公序良俗に反しないものとします。当社は不適切なコンテンツを事前通知なく削除できるものとします。

Content posted by users must comply with laws, not infringe third-party rights, and not violate public order. Open Night may remove inappropriate content without prior notice.

第8条　免責事項・責任制限 / Article 8: Limitation of Liability & Disclaimers

当社は本サービスを現状有姿で提供し、明示・黙示を問わず保証を行いません。天災、障害等によるサービスの一時中断については復旧に努めますが、利用者に生じた損害について、当社の故意または重大な過失による場合を除き、責任を負いかねます。加盟店とユーザー間のトラブルについて、当社は仲介義務を負いません。

The Service is provided "as is" without warranties of any kind. While we will endeavor to restore service after interruptions, Open Night is not liable for damages except in cases of willful misconduct or gross negligence. Open Night has no obligation to mediate disputes between venues and users.

第9条　サービスの変更・中断 / Article 9: Service Modification & Interruption

当社は、事前の通知なくサービス内容の変更、追加、または一時的な中断を行うことができるものとします。重大な変更の場合は合理的な期間をもって事前通知いたします。

Open Night may modify, add to, or temporarily suspend the Service without prior notice. Material changes will be communicated with reasonable advance notice.

第10条　反社会的勢力の排除 / Article 10: Anti-Social Forces Exclusion

利用者は、自らが暴力団、暴力団関係企業、総会屋、その他反社会的勢力（以下「反社会的勢力」）に該当しないこと、および反社会的勢力と関係を有しないことを表明・保証するものとします。当社は、利用者が反社会的勢力に該当すると判明した場合、直ちにサービスの提供を停止し、アカウントを削除できるものとします。

Users represent and warrant that they are not members of organized crime groups, affiliated companies, corporate racketeers, or other anti-social forces, and have no relationships with such entities. If a user is found to be associated with anti-social forces, Open Night may immediately suspend service and delete the account.

第11条　秘密保持 / Article 11: Confidentiality

利用者は、本サービスの利用に際して知り得た当社の非公開情報を第三者に開示・漏洩してはならないものとします。

Users shall not disclose or divulge any non-public information of Open Night obtained through the use of the Service to third parties.

第12条　権利の非譲渡 / Article 12: Non-Transferability of Rights

利用者は、本規約に基づく権利義務を第三者に譲渡、担保提供、またはその他の処分をすることはできません。

Users may not assign, pledge, or otherwise dispose of their rights and obligations under these Terms to any third party.

第13条　通知 / Article 13: Notifications

当社から利用者への通知は、アプリ内通知、登録メールアドレスへのメール送信、またはウェブサイト上の掲載により行うものとし、通知の発信をもって効力を生じるものとします。

Notifications from Open Night to users will be made via in-app notifications, email to the registered address, or posting on the website. Notifications take effect upon dispatch.

第14条　規約変更 / Article 14: Amendments

当社は本規約を変更する場合、変更内容および効力発生日を、効力発生日の14日前までにウェブサイトまたはアプリ上で通知します。通知後の継続利用をもって変更に同意したものとみなします。

When amending these Terms, Open Night will notify users of the changes and effective date at least 14 days before the effective date via the website or app. Continued use after notification constitutes acceptance of the amendments.

第15条　準拠法・管轄裁判所 / Article 15: Governing Law & Jurisdiction

本規約は日本法に準拠し、日本法に従って解釈されるものとします。本規約に関する一切の紛争については、大阪地方裁判所を第一審の専属的合意管轄裁判所とします。

These Terms shall be governed by and construed in accordance with Japanese law. The Osaka District Court shall have exclusive jurisdiction as the court of first instance for any disputes arising from these Terms.

第16条　分離可能性 / Article 16: Severability

本規約のいずれかの条項が無効または執行不能と判断された場合でも、残りの条項の有効性には影響を与えないものとします。

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

第1条　法令遵守 / Article 1: Legal Compliance

当社は、個人情報の保護に関する法律（個人情報保護法）その他関連法令を遵守し、本プライバシーポリシーに従って個人情報を適切に取り扱います。

Open Night complies with the Act on the Protection of Personal Information (APPI) and other applicable laws, and handles personal information appropriately in accordance with this Privacy Policy.

第2条　取得する情報 / Article 2: Information Collected

当社は以下の3つのカテゴリで情報を取得します。

We collect information in the following three categories:

（1）利用者から提供される情報 / User-Provided Information:

• メールアドレス、電話番号、表示名、生年月日、性別Email address, phone number, display name, date of birth, gender
• 予約情報（日時、人数、店舗、プラン）Reservation information (date/time, party size, venue, plan)

（2）自動的に取得される情報 / Automatically Collected Information:

• 端末情報（OS、端末種類、アプリバージョン、端末識別子）Device information (OS, device type, app version, device identifiers)
• ログ情報（IPアドレス、アクセス日時、操作履歴、エラーログ）Log information (IP address, access time, operation history, error logs)
• 位置情報（利用者の許可を得た場合）Location information (with user permission)
• Cookie、広告識別子Cookies, advertising identifiers

（3）第三者から取得する情報 / Third-Party Data:

• 決済代行事業者からの決済関連情報Payment-related information from payment processors

第3条　利用目的 / Article 3: Purpose of Use

取得した個人情報は以下の目的で利用します。

Personal information is used for the following purposes:

• 本サービスの提供・運営（予約処理、決済処理）Service provision and operation (reservation processing, payment processing)
• アカウント管理・本人確認Account management and identity verification
• カスタマーサポート対応Customer support
• サービス改善・新機能開発のための分析Service improvement and analytics for new feature development
• キャンペーン・お知らせの配信（利用者の同意がある場合）Delivery of campaigns and notifications (with user consent)
• 法令に基づく対応Compliance with legal obligations

第4条　利用目的の変更 / Article 4: Change of Purpose

利用目的を変更する場合は、変更後の目的が変更前と合理的に関連する範囲内で行い、変更内容を通知または公表します。

If the purpose of use is changed, it will be done within a scope reasonably related to the original purpose, and the changes will be notified or announced.

第5条　第三者提供 / Article 5: Third-Party Disclosure

当社は、以下の場合を除き、利用者の同意なく第三者へ個人情報を提供しません。

Open Night will not disclose personal information to third parties without user consent, except in the following cases:

• 法令に基づく場合When required by law
• 人の生命・身体・財産の保護に必要な場合When necessary for the protection of life, body, or property
• 公衆衛生の向上・児童の健全育成に特に必要な場合When particularly necessary for public health or child welfare
• 国の機関等への協力が必要な場合When cooperation with government agencies is required
• 予約・決済遂行のために加盟店への必要最小限の情報共有Minimum necessary sharing with venues for reservation and payment processing
• 決済代行事業者（Stripe等）への決済処理に必要な情報の提供Providing information necessary for payment processing to payment processors (e.g., Stripe)

第6条　業務委託 / Article 6: Outsourcing

当社は、利用目的の達成に必要な範囲内で、個人情報の取り扱いを外部に委託する場合があります。委託先には適切な監督を行います。

Open Night may outsource the handling of personal information to the extent necessary to achieve the purposes of use. We exercise appropriate supervision over subcontractors.

第7条　共同利用 / Article 7: Joint Use

当社は、サービス提供に必要な範囲で、加盟店との間で以下の情報を共同利用する場合があります：予約情報、来店情報、ユーザーの表示名。共同利用における管理責任者は当社とします。

Open Night may jointly use the following information with venues as necessary for service provision: reservation information, visit information, and user display names. Open Night shall be the responsible party for the management of jointly used data.

第8条　安全管理措置 / Article 8: Security Measures

当社は、個人情報の漏洩、滅失、毀損の防止のため、以下の安全管理措置を講じています。

Open Night implements the following security measures to prevent leakage, loss, and damage of personal information:

• 組織的安全管理措置：個人情報保護責任者の設置、取り扱い規程の整備Organizational measures: Appointment of a data protection officer, establishment of handling rules
• 人的安全管理措置：従業員への教育・研修の実施Human measures: Employee training and education
• 物理的安全管理措置：入退室管理、機器の施錠管理Physical measures: Access control, device security management
• 技術的安全管理措置：SSL/TLS暗号化、アクセス制御、不正アクセス防止Technical measures: SSL/TLS encryption, access control, unauthorized access prevention

第9条　保存・削除 / Article 9: Retention & Deletion

個人情報は利用目的の達成に必要な期間保存し、不要となった場合は速やかに削除または匿名化します。法令により保存が義務付けられるデータは法定期間保持します。

Personal information is retained for the period necessary to achieve the purposes of use. When no longer needed, it will be promptly deleted or anonymized. Data required by law is retained for the legally mandated period.

第10条　利用者の権利 / Article 10: User Rights

利用者は以下の権利を有します。

Users have the following rights:

• 開示請求：保有する個人情報の開示を請求できますDisclosure: Request disclosure of personal information held
• 訂正・追加・削除：個人情報の内容が事実でない場合、訂正・追加・削除を請求できますCorrection, Addition, Deletion: Request correction, addition, or deletion when information is inaccurate
• 利用停止・消去：利用目的外の利用等がある場合、利用停止・消去を請求できますSuspension of Use: Request suspension or erasure in case of unauthorized use

第11条　未成年者 / Article 11: Minors

本サービスは18歳以上の方を対象としています。18歳未満の方は本サービスをご利用いただけません。

The Service is intended for users aged 18 and older. Persons under 18 may not use the Service.

第12条　Cookie / Article 12: Cookies

当社は、サービスの品質向上、アクセス解析、広告配信のためにCookieおよび類似技術を使用します。利用者はブラウザ設定によりCookieを無効にできますが、一部機能が制限される場合があります。

Open Night uses cookies and similar technologies for service improvement, analytics, and advertising. Users may disable cookies via browser settings, but some features may be limited.

第13条　漏洩等への対応 / Article 13: Breach Response

個人情報の漏洩、滅失、毀損等が発生した場合、速やかに事実関係を調査し、影響を受ける利用者への通知および個人情報保護委員会への報告等、法令に基づく対応を行います。

In the event of a data breach, loss, or damage, Open Night will promptly investigate, notify affected users, and report to the Personal Information Protection Commission as required by law.

第14条　プライバシーポリシーの変更 / Article 14: Policy Changes

当社は、法令の改正、サービスの変更等に伴い、本ポリシーを変更する場合があります。重要な変更については、ウェブサイトまたはアプリ上で事前に通知いたします。

Open Night may amend this Policy in response to legal changes, service modifications, etc. Material changes will be notified in advance via the website or app.

予約のキャンセル条件は、予約時に表示される各加盟店のキャンセルポリシーに従います。

Reservation cancellation terms are governed by each venue's individual cancellation policy as displayed at the time of booking.

第2条　アカウント・サービスの解約 / Article 2: Account & Service Cancellation

アカウントまたはサービスの解約は、メールまたは電話にていつでもご連絡いただけます。

Account or service cancellation can be requested at any time via email or phone.
